Terms and Conditions
These terms and conditions govern the delivery of products subsequent to invoicing. Please read these terms carefully before proceeding with any transactions.
1. Acceptance of Terms
By approving any quotes or invoices, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. These terms constitute a legally binding agreement between you and Above Allegan LLC.
2. Product Delivery
2.1. Delivery Schedule: Products will be delivered as per the agreed-upon schedule specified in the invoice. A download link will typically be provided within 24 hours of receipt of payment, unless otherwise specified.
2.2. Delivery Location: The products will be delivered via a download link provided to the contact e-mail or as mutually agreed upon by both parties.
2.3. Delivery Responsibility: Above Allegan LLC will ensure that the products are delivered in accordance with the specifications outlined in the invoice and these terms and conditions.
3. Acceptance of Delivery
3.1. Inspection: Upon delivery, you are responsible for inspecting the products for any discrepancies. Any concerns regarding the delivered products must be reported to Above Allegan LLC within 5 business days of delivery.
3.2. Acceptance: 5 business days after receipt of delivery without concerns about products delivered will signify that the products have been received in satisfactory condition and in accordance with the terms outlined in the invoice.
4. Payment Terms
4.1. Invoicing: Products will be invoiced upon delivery or as otherwise agreed upon between both parties.
4.2. Payment Deadline: Invoiced amounts will be due within the specified time-frame on invoicing, typically payments are required prior to delivery of goods and a 25% down payment for the invoiced amount is due within 5 business days of the invoice date to secure scheduled flight date(s) to begin planning, unless otherwise specified in the invoice or contract. If requested flight date is less than 5 business days from the invoice date, a 50% deposit will be due upon receipt of the invoice to secure the scheduled flight and before any work will commence.
5. Product Risk
Risk of loss of the products shall pass to you upon delivery. It is your responsibility to ensure adequate storage for the products upon delivery. Products will be held and maintained by Above Allegan LLC at no additional charge for 90 days following delivery. Additional storage can be arrange upon request for a nominal fee.
6. Limitation of Liability
To the extent permitted by law, Above Allegan LLC shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the delivery or use of the products.
7. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
8. Modification of Terms
Above Allegan LLC reserves the right to modify these terms and conditions at any time without prior notice. Any such modifications will be effective immediately upon posting on our website or other communication channels. Existing signed and approved quotes and invoices will be held to the terms and conditions agreed upon at the time of contract until delivery in which the modifications will be effective.
